RBI's Scale-Based Regulation

Which Regulatory Layer Will Your NBFC Sit In?

Since 2022, RBI classifies every NBFC into one of four layers under its Scale-Based Regulation (SBR) framework — each carrying a different compliance load. Most new NBFCs start in the Base Layer.

NBFC-BL

Base Layer

Non-deposit-taking NBFCs with an asset size below ₹1,000 crore. Lightest compliance load of the four layers.

NBFC-ML

Middle Layer

Deposit-taking NBFCs of any size, and non-deposit NBFCs above the Base Layer asset threshold — held to materially higher compliance and governance standards.

NBFC-UL

Upper Layer

The largest NBFCs, specifically identified by RBI based on a scoring methodology covering size, interconnectedness, and complexity. Regulated closer to a bank.

NBFC-TL

Top Layer

Reserved for NBFCs RBI judges to carry a sudden, significant increase in systemic risk. Usually kept empty — populated only if that risk materialises.

Before You Apply

Do You Even Need NBFC Registration?

Not every financial-sounding activity requires an NBFC license, and some financial entities are regulated separately. Getting this wrong upfront costs months — here's how RBI draws the line.

Not a Financial Activity Under RBI's Definition

RBI's definition of an NBFC specifically excludes companies whose principal business is:

  • Agricultural activity
  • Industrial activity
  • Purchase or sale of any goods (other than securities)
  • Providing any services
  • Sale, purchase, or construction of immovable property

Already Regulated Under a Different Framework

These businesses touch financial services but are licensed and supervised by a different regulator entirely, not as an NBFC:

  • Stock broking companies
  • Insurance companies (regulated by IRDAI)
  • Venture capital and merchant banking companies
  • Mutual funds
  • Chit fund companies
  • Housing finance companies (regulated by NHB/RBI under a separate framework)

RBI also applies a “principal business” test: a company is treated as an NBFC only if its financial assets are more than 50% of total assets, and income from financial assets is more than 50% of gross income — both conditions together, sometimes called the 50-50 test.
